Service Agreement for Stash Bookkeeping

Services

1.1 Scope: The Service Provider agrees to provide accounting, bookkeeping, payroll, and financial consultancy services (the “Services”) as described in the attached Service Description or as otherwise agreed upon by the parties.

1.2 Service Period: The Services will commence on the Effective Date and will continue until either party terminates the Agreement in accordance with Section 5 (Termination).

Service Fees and Payment

2.1 Fees: The Client agrees to pay the Service Provider the fees specified in the attached Pricing Schedule or as otherwise agreed upon in writing.

2.2 Payment Terms: Payment for the Services shall be made in accordance with the Payment Schedule outlined in the Pricing Schedule. The Client shall make payments within 2 days from the date of the invoice.

Client’s Responsibilities

The Client agrees to cooperate with the Service Provider and provide any necessary information, documents, or access to financial records required for the provision of the Services.

Confidentiality

Both parties agree to keep confidential all information exchanged during the provision of the Services and not to disclose any information to third parties, except as required by law.

Termination

This Agreement may be terminated by either party upon written notice to the other party. The Client shall be responsible for all fees incurred up to the date of termination.

Limitation of Liability

The Service Provider’s liability is limited to the fees paid by the Client for the Services. In no event shall the Service Provider be liable for any consequential, special, or indirect damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the court.

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written agreements, understandings, or representations.

By continuing, the parties acknowledge that they have read and agreed to the terms and conditions of this Service Agreement.
